The short answer is that the law usually requires a corporation to have a Board (e.g., ORS 60.301).  But what about in a situation where the law does not require a Board?  Apparently, the Republic of Colombia does not require its corporations to have Boards of Directors.  In a recent study of over 20,000 closely held Colombian firms, a couple conclusions were drawn about the whens and whys of having a Board:

When buying or selling a company, the “news” regarding the deal is mostly focused on two entities, the buyer and the seller.  However, for a purchase and sale transaction to be successful, there are lots of other companies whose interests must be considered, and provided for, in the transaction.
